General Terms and Conditions of Sale B2B – Japanparts S.r.l.

1. Scope of Application

These General Terms and Conditions of Sale (“T&C”) apply exclusively to Professional Clients (B2B), such as distributors, wholesalers, resellers, or other economic operators in the automotive sector.

The sale to end consumers is expressly excluded in this Web Area in accordance with applicable regulations. Therefore, these General Terms and Conditions of Sale exclude the application of the provisions of the Consumer Code.

These T&C shall prevail over any other general or specific conditions prepared and/or used by the Customer, unless expressly agreed otherwise in writing between Japanparts S.r.l. and the Customer.

2. Formation of the Contract

Orders submitted by the Customer constitute an irrevocable contractual offer.

The contract shall be concluded exclusively upon:

  • written order confirmation by Japanparts S.r.l., within 15 days from receipt of the order, including by electronic means; or
  • execution of the order by Japanparts S.r.l.

Any verbal statements or agreements shall not be binding unless confirmed in writing.

By submitting an Order and accessing the reserved area of the B2B e-commerce platform, the Customer declares that it has read, understood and fully accepted these T&C.

Japanparts S.r.l. reserves the right to refuse orders, suspend supplies or require payment guarantees.

3. Prices

Product prices are those indicated in the price list in force at the time of the Order, subject to any temporary offers and/or discounts, and do not include VAT.

Prices do not include transport costs, which will be charged at cost. The Customer acknowledges that transport prices may be subject to objective increases occurring prior to shipment.

Any taxes, customs duties or other charges in the country of destination shall be borne exclusively by the Customer.

The Customer guarantees that the prices indicated in the invoice are true and compliant with applicable foreign exchange regulations.

4. Payment Terms

Payments must be made in accordance with the terms and methods indicated in the invoice issued by Japanparts S.r.l.

In the event of late or non-payment, default interest shall accrue pursuant to Legislative Decree no. 231/2002.

Japanparts S.r.l. may suspend deliveries without any right of compensation for the Customer in case of non-payment.

5. Delivery and Transfer of Risk

Delivery shall take place within the agreed time, which is not essential for Japanparts S.r.l.

Risk transfers to the Customer upon delivery to the carrier, even if transport is arranged by Japanparts S.r.l.

Japanparts S.r.l. shall not be liable for delays.

Japanparts S.r.l. reserves the right to extend delivery times or withdraw from the contract in cases of force majeure, supply issues, Customer errors, non-payment, or order modifications.

6. Retention of Title

Ownership of the products remains with Japanparts S.r.l. until full payment has been received.

In case of default, Japanparts S.r.l. may reclaim the goods and claim damages.

7. Claims and Returns

Claims must be submitted within the required timeframe and through the appropriate channels.

  • 7.1 Claims for damage must be reported immediately to the carrier;
  • 7.2 Quantity or product errors must be reported within 8 days;
  • 7.3 Returns require prior written authorization;
  • 7.4 Transport for returns is at Japanparts’ discretion;
  • 7.5 Claims do not suspend payment obligations;
  • 7.6 Japanparts may request return and decide between replacement or refund.

8. Warranty

8.1 Scope

Japanparts S.r.l. guarantees that products comply with declared specifications and OE standards.

The warranty applies only to products purchased directly and installed by qualified personnel.

The warranty is granted once per product and only to the first claimant.

Products are not intended for installation by non-professional end consumers.

8.2 Duration

EU Customers:

  • B2B: 12 months from delivery;

Non-EU Customers:

  • warranty subject to local laws and limited to 12 months from purchase;

The warranty period starts from installation date (vehicle owner) or purchase date (other cases).

8.3 Conditions

The warranty applies only to original defects existing at delivery.

The burden of proof lies with the Customer.

Documentation required:

  • purchase invoice;
  • installation invoice (if applicable);
  • any other requested documents.

8.4 Warranty Services

Japanparts S.r.l. may, at its discretion:

  • replace the Product;
  • or refund the purchase price.

Refunds are only granted if the product value is clearly stated in the invoice.

Warranty excludes labor, installation costs, indirect damages.

8.5 Warranty Management

Claims must be submitted within the warranty period.

Japanparts may request further information or product inspection.

8.6 Exclusions

  • incorrect installation;
  • misuse;
  • wear and tear;
  • unauthorized modifications;
  • tampering;
  • indirect damages;
  • late reporting (after 8 days).

8.7 Final Provisions

Japanparts does not sell to consumers under Legislative Decree 206/2005.

9. Limitation of Liability

Liability is limited to the value of the product. Indirect damages are excluded.

10. Intellectual Property

All trademarks and materials are the property of Japanparts S.r.l. Unauthorized use is prohibited.

11. Applicable Law and Jurisdiction

These T&C are governed by Italian law. The exclusive court is Verona (Italy).

12. Final Provisions

Invalid clauses do not affect the validity of the remaining provisions.

Japanparts S.r.l. may modify these T&C at any time.
